Here's How To Move $57 Billion In Cash In The Span Of Just Six Hours

A year-and-a-half ago, German drugmaker Bayer secured a deal to buy agrochemical company Monsanto for $66 billion. The all-cash deal is the largest all-cash merger ever, with $57 billion of the money coming in cash and $9 billion in assets. That begs the question: how in the world do you transfer $57 billion in cash? Turns out, it's not entirely different from moving a smaller amount of money – but it is a bit more complex.

Bayer called on JPMorgan to collect money from tens of banks across different time zones, aggregating it into a single account, and ensuring all parties were informed and ready for the deal.

All in a span of six hours, since everything had to be done before the stock exchange opened.

In the weeks before the deal, Bayer executives contacted the lenders who were financing the acquisition. On June 7, that money began exchanging hands at around 2 a.m. in New York, which is 7 a.m. in London. Asian and European lenders begin wiring money into an account at JPMorgan's London branch.

Throughout the entire transfer, JPMorgan hosted an internal bridge call, with operations, fraud prevention, and credit bureaus all involved. The banks had been sent instructions and an account number, with the cash coming from loans promised 18 months earlier.

Prior to 2008's financial crisis, this process would have taken a much longer time, which is actually easier on a bank. Within the last decade, though, firms aren't supposed to hold overnight cash. That means banks have just one day to collect all of the money in a deal.

In total, JPMorgan received money from 30 different banks. By 6:30 a.m. EST, all of the money got transferred from London to a New York account. JPMorgan and Bayer then had a conference call with a record keeper on the line to execute closing paperwork, much like when closing the sale of a house.

In a tremendous show of good faith, JPMorgan had to front billions of dollars because accounting systems for Bayer's money-market mutual funds don't open until 7:30 a.m. JPMorgan also had to have 20 percent of the money handy in case someone couldn't deliver on their loan.

Of course, as with any deal, there's plenty of paperwork. Bayer's treasurer had to instruct JPMorgan to deliver the $57 billion to the record keeper, who then had to confirm receipt. After the money is totaled, Monsanto filed a certificate of merger with Delaware's secretary of state.

The final step? Informing the New York Stock Exchange to ensure shares of Monsanto aren't available for trading.

LeBron James Declined His Player Option…So Now What?

LeBron James spent the last four years in Cleveland, but his days as a Cavalier could be numbered. James opted out of his player option, effectively making him an unrestricted free agent. As basketball's offseason heats up, there's one question on everyone's mind: where will LeBron find himself?

The four-time MVP is the headliner of a major free agency class. Other big names include Paul George, DeMarcus Cousins, and Chris Paul.

James signed a three-year deal in 2016, with a player option for the third year. That final year was the option James declined. He would have made $35.6 million this upcoming season.

Instead, he has his pick of teams around the league. That includes the Cavaliers, who can offer more money than anyone else. Cleveland can offer a deal worth about $205 million over five years. All other teams can offer a max deal of four years and $152 million.

The frontrunners to land James include the Los Angeles Lakers, Philadelphia 76ers, and Houston Rockets. However, LeBron's options may be more limited than they seem, because they typically rely on convincing another player to join him.

For example, Chris Paul is close to signing a max deal with the Rockets, leaving Houston with limited financial flexibility to bring LeBron over. Rockets GM Daryl Morey has shown immense creativity in acquiring players before, but this move might be too complex even for him.

Meanwhile, the Lakers would likely need to land another superstar to lure LeBron. And with rumors that George might actually remain with the Thunder instead of going to his hometown Lakers, the ripple effect may find its way to LeBron.

The Lakers are also looking at trading for Kawhi Leonard, which could sway James. Unfortunately for L.A., the Spurs hold all the bargaining power in any deal. Leonard isn't a free agent until next season, so San Antonio is in no rush to trade for him. If the Lakers can't land Leonard, their current roster as it stands isn't enough to compete for a championship.

The Sixers are looking into trading for Leonard, too. They'd lose a few of their supporting pieces, but a trio of Ben Simmons, Joel Embiid, and Kawhi Leonard would be formidable. If the Sixers make that trade, they probably wouldn't be able to add James, as well.

While the common belief is that James will sign a long-term deal, he could do the same thing he's been doing since rejoining the Cavs. With the salary cap continuing to rise, LeBron could sign a one-year contract instead. If he goes that route, he'll make $35.4 million this year, with an option for $38.2 million next season.

No matter the final outcome, the LeBron sweepstakes will have consequences felt throughout the league. It's going to be a fascinating summer.

Ed Sheeran Sued For $100M For Allegedly Ripping Off A Marvin Gaye Song

A few months ago, Marvin Gaye's estate won the final appeal in an important lawsuit against Pharrell Williams and Robin Thicke, alleging that they were owed royalties from the artists behind the hit song "Blurred Lines" for biting the vibe of Gaye's classic 1977 hit "Got to Give it Up." Now, TMZ reports that Structured Asset Sales, a company that holds one third of the rights to another Gaye classic, has its sights on still another allegedly derivative hit song, this one Ed Sheeran's "Thinking Out Loud."

Sheeran has been hit with a $100 million lawsuit by Structured Asset Sales for ripping off the "melody, rhythms, harmonies, drums, bassline, backing chorus, tempo, syncopation and looping" of what is probably Marvin Gaye's most famous and iconic song: "Let's Get It On," written by both Gaye and the late songwriter Ed Townsend.

"Thinking Out Loud" first came out in 2014, and in February of 2017 Townsend's heirs had a lawsuit of their own against Sheeran thrown out by a judge. And according to the new suit, SAS' one-third stake in the older song entitles them to $100 million in damages from the profits of "Thinking."

According to the company's lawsuit, "Thinking Out Loud" has more than a billion YouTube streams to its name, and the album its on — 2014's — has sold more than 15 million copies, and much of that success, so they claim, can be traced directly to Gaye and Townsend's work on "Let's Get It On."

When he was sued the first time over the song earlier this year, he said the elements that the songs have in common are "extremely commonplace," but SAS obviously thinks differently. That may be partially because in 2016, Sheeran reached an undisclosed settlement with the writers of a song called "Amazing" that was allegedly ripped off for his hit "Photograph," after they sued him for $20 million. And it remains to be seen whether Marvin Gaye's heirs might be placing a lawsuit of their own as well.

Xiaomi CEO Lei Jun Gets $1.5 Billion Bonus, One Of The Largest In History

Lei Jun is the founder and CEO of the Chinese smartphone company Xiaomi. He's been called the Steve Jobs of China, and The Wall Street Journal is reporting that he recently got a Jobs-worthy bonus of $1.5 billion worth of company stock, one of the biggest executive bonuses in business history.

The bonus, purportedly for the straightforward purpose of "reward[ing] him for his contributions," comes as Xiaomi is on the cusp of an IPO later this summer. If the IPO goes as planned, Jun's stock will soon be worth even more than it is now, likely to the tune of somewhere around $1.79 billion.

The sheer size of Jun's executive bonus outdoes any equivalent such bonus other CEOs have gotten in the recent past, including the $638 million that Evan Spiegel got from Snapchat in February of this year, at the time cited as the largest stock award going back to (at least) 2011. But it's also unusual in that the bonus does not seem to be tied to any performance goals on Xiaomi's part, and instead comes with no strings attached. Contrast that with the stock awards Elon Musk is set to attain should his Tesla company meet the established benchmarks, valued at as much as $2.6 billion over the next ten years — but only if all of those benchmarks are met.

In Jun's case, the bonus has no such benchmarks, and he gets to enjoy his unprecedentedly large bonus even in the unlikely event of his company crashing and burning in the near future.

Jun founded Xiaomi, which is primarily a smartphone company but also produces other electronics as well as software, in 2010, and joined the billionaires' club two years later as his company experienced rapid growth. In addition to Xiaomi, he's also involved in other companies in China, including the social media site YY and the online game outfit Kingsoft.
